The article deals with studying problematic issues of corporate rights abuse when excluding a member of a limited liability company. The conclusion is made that abuse of corporate rights by the member of a limited liability company prevents the achievement of company’s goals and can be considered as grounds for his exclusion from the company. It has been established that the right to exclude the member of a limited liability company can be the object of abuse. In order to prevent the abuse of the right to exclude the member of a limited liability company it is offered to introduce a judicial order of exclusion and to establish an exhaustive list of reasons for exclusion of company’s members that should be fixed in normative acts.
