Abstract

The article deals with studying problematic is­sues of corporate rights abuse when excluding a mem­ber of a limited liability company. The conclusion is made that abuse of corporate rights by the member of a limited liability company prevents the achievement of company’s goals and can be considered as grounds for his exclusion from the company. It has been estab­lished that the right to exclude the member of a limited liability company can be the object of abuse. In order to prevent the abuse of the right to exclude the member of a limited liability company it is offered to introduce a judicial order of exclusion and to establish an exhaus­tive list of reasons for exclusion of company’s members that should be fixed in normative acts.
